1. The Services
ORDEVU provides a done-for-you booking automation service for beauty salons, including but not limited to: professional website setup, AI-powered chat and voice assistance, automated booking, reminders, review requests, unified messaging, and related configuration and ongoing support (collectively, the “Services”).
2. Eligibility
You must be at least 18 years old and authorized to enter into agreements on behalf of your business to use the Services.
3. Free Trial
We offer a 14-day free trial with free setup and no credit card required. At the end of the trial, your account will only continue if you choose to provide payment details and continue with a paid subscription. You can cancel during the trial at no cost.
4. Subscription and Billing
- Subscription fees are billed monthly in advance at the price listed on our website.
- AI usage fees are billed based on actual usage at a per-message rate that varies with the size and complexity of your account data. The rate will be disclosed to you before billing begins, and usage will appear on your invoice.
- Optional add-ons (such as local SEO) are billed separately at the prices disclosed to you.
- Subscriptions automatically renew each month until canceled.
- All fees are non-refundable except where required by law.
5. Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle, and you will continue to have access until that time. We do not charge cancellation fees and do not require long-term contracts.
6. Your Responsibilities
You agree to:
- Provide accurate, current, and complete information
- Comply with all applicable laws, including rules about automated messaging, calls, and data privacy (e.g., TCPA, CAN-SPAM, GDPR where applicable)
- Obtain appropriate consent from your clients before messaging them
- Keep your account credentials secure
- Not use the Services to send spam, harassing, or illegal content
- Not attempt to reverse engineer, disrupt, or misuse the Services
7. Content and Data
You retain ownership of the content and data you provide (including client information you import or generate through the Services). You grant ORDEVU a limited license to use this content solely to provide and improve the Services.
8. Third-Party Services
The Services integrate with third-party tools (such as messaging providers, AI providers, and booking platforms). We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their terms.
9. Intellectual Property
All software, designs, branding, and materials used to provide the Services are owned by ORDEVU or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services during the term of your subscription.
10. Service Availability
We work hard to keep the Services available, but we do not guarantee uninterrupted availability. We may perform maintenance, updates, or changes from time to time.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT SPECIFIC RESULTS (SUCH AS NUMBER OF BOOKINGS, REVENUE, OR REVIEWS).
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDEVU AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE CLAIM.
13. Indemnification
You agree to indemnify and hold ORDEVU harmless from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.
14. Termination
We may suspend or terminate your access to the Services if you violate these Terms or misuse the Services. Upon termination, your right to use the Services ends.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active customers. Your continued use of the Services after changes take effect means you accept the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Sheridan County, Wyoming, unless applicable law requires otherwise.
